Grey Market and Diversion Investigations

Grey Market and Diversion Investigations

Grey market goods — genuine branded products sold through distribution channels that the brand owner has not authorised — present a different but equally significant brand protection challenge from counterfeiting. The goods are genuine; the problem is where they have come from and who is selling them. Grey market goods may originate from authorised distribution in a lower-price market and be diverted to a higher-price market, from overproduction or excess stock sold outside authorised channels, or from a distributor or retailer who is breaching their distribution agreement.

Why Grey Markets Matter

Grey market activity causes direct financial harm through pricing erosion and margin damage; brand harm through the association of the brand with uncontrolled retail environments or substandard customer experiences; and legal harm through the breach of exclusive distribution arrangements that the brand owner has established with authorised distributors. For pharmaceutical, luxury, and technology brands in particular, grey market control is a significant commercial and legal priority.

Investigation Approach

Source identification: tracing the origin of grey market goods through test purchasing, supply chain investigation, and intelligence gathering to identify the point at which authorised product leaves the authorised distribution channel.

Distributor investigation: investigation of distributors and retailers suspected of breaching their distribution agreements, establishing the specific conduct that constitutes the breach.

Online marketplace monitoring: systematic monitoring of online marketplaces for grey market listings, identifying sellers and patterns of activity that indicate systematic diversion rather than isolated instances.
